HONESTY AND GOOD FAITH.
Directors will act honestly and in good faith and will do nothing to violate the trust the members have in them.
CARE, DILIGENCE AND SKILL.
Directors will exercise the degree of care, diligence and skill of a reasonably prudent person in comparable circumstances when dealing with affairs of the Association. Directors will make a concerted effort to attend all Board Meetings on time. Directors will act responsibly and with due diligence to become familiar with the affairs of the Association and to uphold its Letters Patent, Objects, Rules, Resolutions and Agreements.
CONFLICT OF INTEREST
Directors warrant that they are not aware of any actual or potential conflict of interest with respect to any contract, transaction, legal action, proceedings or any matter detrimental to the Association. If a Director becomes aware of any such conflict, he or she will immediately disclose it to the Board.
CONFIDENTIALITY
Directors will not disclose to any person information decided by the Board to be confidential or privileged or which reasonably ought to be deemed confidential.
GOOD CONDUCT
At all times, Directors will conduct themselves in a professional and businesslike manner at Board Meetings. Directors will approach all Board issues with an open mind prepared to make the best decisions on behalf of the Association in furtherance of its objects.
SUPPORT
Directors will abide by decisions of the majority of the Directors even though they may disagree with those decisions, while reserving the right to express their own views with respect to those decisions.
DEFAMATION/ COURTESY
Members will not make erroneous or defamatory statements about the Association or of any member of the Association. Members will treat each other with courtesy and will attempt to prevent or minimize conflict and disruption and will promote good relations amongst members of the Association.
RELATIONS WITH THE PUBLIC
Members should endeavour to conduct themselves at all times so as to reflect credit on the Association and avoid all actions that would tend to bring the Association into disrepute.
